Terms of Service

Transform Your Path offers life coaching, professional development support, and mindset-based guidance through one-on-one and group sessions, workshops, online materials, and other related services. We seek to support personal and professional growth and empowerment through coaching methodologies and educational content.

To use our Services, you must be at least 18 years old and legally capable of entering into binding contracts. If you are under the age of 18, you may only use the Services with the involvement and consent of a parent or legal guardian, who must enter into these Terms on your behalf and be responsible for your actions and omissions relating to the Services. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

3.1 Life Coaching Sessions

Transform Your Path will provide life coaching sessions scheduled at times mutually agreed upon between you and Transform Your Path. 

3.2 Fees

In consideration for the Services, you agree to pay Transform Your Path the applicable fee for each session or package of sessions as displayed on our website, booking page, payment portal at the time of purchase, or as set forth in specific Terms executed by you through DocuSign or another comparable electronic signature platform.

Payment must be made in full before the scheduled session. Sessions will not be confirmed until payment is received. All fees are non-refundable once paid, except in the event that Transform Your Path cancels a session and you do not reschedule. All sessions must be scheduled within 12 months of purchase, or they will expire.

3.3 Electronic Signatures

You consent to conducting business electronically and agree that electronic signatures have the same legal effect as handwritten signatures.

4.1 Nature of Coaching Relationship

Transform Your Path provides life coaching and educational consulting services only. As mentioned in the disclaimer below, we do not provide therapy, medical advice, legal advice, financial advice, or any other professional services. Coaching is intended for personal development purposes only and is not a substitute for therapy, medical treatment, or professional advice from licensed or certified providers.

You are solely responsible for all decisions, actions, outcomes, and results arising out of or related to the coaching relationship and your interactions with us. Accordingly, you agree that Transform Your Path is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect results of any Services provided.

4.2 Client Commitments

You agree to:

• Communicate honestly and be open to feedback and assistance.
• Create the time and energy to participate fully in the program.
• Complete assignments and come prepared to sessions.
• Take full responsibility for your decisions, actions, and results.

4.3 Session Scheduling and Cancellation Policy

• Sessions are scheduled through Google Workspace Calendar or other designated scheduling platform.
• Cancellations must be made at least 24 hours in advance of the scheduled session.
• Cancellations made without 24-hour notice will count as a missed session.
• Arriving more than 15 minutes late will count as a missed session.
• Missed sessions may be subject to full charges at our discretion.

Transform Your Path agrees not to disclose any confidential or proprietary information (“Confidential Information”) obtained as a result of these Terms pertaining to Client without Client’s written consent. However, please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the legal profession) and thus communications are not subject to the protection of any legally recognized privilege. Confidential Information does not include information that: 

• was in Coach’s possession prior to its being furnished by Client; 
•  is generally known to the public; 
• is obtained by Coach from a third party, without breach of any obligation to Client; 
• is independently developed by Coach without use of or reference to Client’s confidential information; 
• Coach is required by law or regulation, lawfully issued subpoena, or by court order to disclose; or
• involves illegal activity. 

You will not disclose any information to Transform Your Path that you do not have the rights to disclose to us. You also acknowledge your continuing obligation to raise any confidentiality questions or concerns with Transform Your Path in a timely manner.

Transform Your Path will not disclose Client’s name as a reference without Client’s consent, provided that Client agrees to provide Transform Your Path with a written and/or video testimonial in connection with the Services. Client hereby grants to Coach the right, title and interest to all testimonials provided by Client (in whatever form provided), including for the purpose of promoting and marketing the Services on our website, across social media, advertisements, and to Transform Your Path’s future and prospective clients.

We reserve the right, and you authorize us, to the use and assignment of all information submitted or collected by or about you on or through the Transform Your Path website or otherwise in accordance with our Privacy Policy. 

Material given to Client, or that Client otherwise has access to, during Client’s work with Transform Your Path and any derivatives thereof (“Coaching Material”) is proprietary, copyrighted and developed specifically by us. Client agrees that the Coaching Material is solely for Client’s own personal use and is Coach’s intellectual property and Confidential Information. Any disclosure to a third party is strictly prohibited. Client agrees that if Client violates, or displays any likelihood of violating, any of the agreements contained in these Terms, Transform Your Path will be entitled to injunctive relief to prohibit any such violations and to protect against the harm of such violations.

Upon our reasonable request, you will provide Transform Your Path with feedback, suggestions, or proposals on how to improve the Services (“Feedback”). You hereby grant to us a perpetual, worldwide, royalty-free license that is sublicensable and transferable, to make, use, sell, have made, offer to sell, import, reproduce, publicly display, distribute, modify, publicly perform, and otherwise exploit the Feedback in any manner without any obligation, royalty or restriction based on intellectual property rights or otherwise.

WE MAKE NO GUARANTEES ABOUT SPECIFIC OUTCOMES, RESULTS, OR ACHIEVEMENTS. SUCCESS DEPENDS ON MANY FACTORS INCLUDING YOUR COMMITMENT, EFFORT, AND CIRCUMSTANCES BEYOND OUR CONTROL. SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT OFFER OR PROVIDE THERAPY, MENTAL HEALTH COUNSELING, MEDICAL ADVICE, OR ANY FORM OF HEALTHCARE SERVICES. OUR COACHES ARE NOT LICENSED MEDICAL, MENTAL HEALTH, OR PSYCHOLOGICAL PROVIDERS. IF YOU ARE EXPERIENCING MENTAL HEALTH CHALLENGES, MEDICAL ISSUES, OR PSYCHOLOGICAL DISTRESS, WE STRONGLY ENCOURAGE YOU TO SEEK SUPPORT FROM A LICENSED PROFESSIONAL.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSFORM YOUR PATH BE LIABLE TO CLIENT OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, CONSEQUENTIAL, PUNITIVE, INCIDENTAL, SPECIAL OR OTHER SIMILAR DAMAGES AND TRANSFORM YOUR PATH’S ENTIRE LIABILITY UNDER THESE TERMS OR RELATING TO THE SERVICES, AND CLIENT’S EXCLUSIVE REMEDY, SHALL BE LIMITED TO THE LESSER OF $1,000 AND THE AMOUNT ACTUALLY PAID BY CLIENT TO TRANSFORM YOUR PATH UNDER THESE TERMS FOR ALL SERVICES RENDERED THROUGH AND INCLUDING THE TERMINATION DATE.

You agree to indemnify, defend and hold us harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms;
• Your misuse of our Services or materials;
• Any actions you take based on coaching received; or
• Your violation of any applicable laws or third-party rights.

Either Client or Transform Your Path may terminate these Terms at any time with at least 4-weeks advance written notice, provided that no refunds will be given for any prepaid Services.

Transform Your Path may suspend or terminate these Terms, any scheduled sessions, or your access to the Services immediately if (i) you breach these Terms (including failure to make timely payments); (ii) you engage in conduct that is abusive, inappropriate, or otherwise inconsistent with the coaching relationship; or (iii) your continued participation creates, or could reasonably create, legal or reputational risk for Transform Your Path. Termination of these Terms will be without refund, compensation, or liability to Transform Your Path, and does not relieve you of any obligations incurred prior to termination, including without limitation any payment obligations. Client agrees to compensate us for all Services rendered through and including the effective date of termination of these Terms. 

Any provisions of these Terms that by their nature should survive termination will continue in effect, including but not limited to: Fees, Confidentiality, Limitation of Liability, Indemnification, Intellectual Property, Termination, Arbitration and Dispute Resolution.

We may use various third-party platforms including but not limited to:

• DocuSign for agreements.
• Stripe for payment processing.
• Google Workspace for scheduling.
• Video conferencing platforms for sessions.
• Social media platforms for communication.

We may update the third-party platforms we use from time to time. You acknowledge these services have their own terms and privacy policies. We are not responsible for any third-party services and you use these third-party services at your own risk.

You agree to use the Transform Your Path Site only for lawful purposes. You may not:

• Disrupt or interfere with the functioning of the Transform Your Path Site;
• Upload or transmit malicious code; or
• Access or use the Transform Your Path Site in violation of any applicable laws.

We reserve the right to terminate or suspend your access to the Transform Your Path Site for any violation of these Terms.

These Terms shall be governed by the laws of the State of Washington without regard to conflict of laws principles. Except as otherwise provided in the Arbitration section, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington State for any actions arising out of or relating to the enforcement of an arbitration award, or for claims seeking injunctive or other equitable relief.

(a) These Terms and your use of the Services shall be governed by the laws of the State of Washington, without regard to its conflict of laws principles, except to the extent governed by the Federal Arbitration Act (“FAA”), which shall apply to the interpretation and enforcement of this arbitration provision.

(b) For any dispute, claim, or controversy arising out of or relating to these Terms, including without limitation their breach, termination, enforcement, interpretation, or validity, or your access to or use of the Services (each a “Dispute”), you agree to first contact Transform Your Path and attempt to resolve the Dispute informally. If the Dispute is not resolved within thirty (30) days, it shall be settled by final and binding arbitration administered by the Judicial Arbitration and Mediation Services (“JAMS”) pursuant to its Comprehensive Arbitration Rules and Procedures (or, if applicable, the Streamlined Arbitration Rules and Procedures), which are incorporated by reference. Arbitration shall be conducted before a single arbitrator, on an individual basis only, and not as a class, collective, consolidated, or representative action.

i. The arbitrator shall be a retired judge or licensed attorney experienced in commercial law, and shall apply the substantive law of Washington, consistent with the FAA.

ii. This section constitutes a "written agreement to arbitrate" within the meaning of the FAA.

iii. If the claim does not exceed ten thousand dollars ($10,000), arbitration will be conducted solely on the basis of documents submitted to the arbitrator, unless the arbitrator determines that a hearing is necessary.

iv. CLASS ACTION WAIVER: BY AGREEING TO THESE TERMS, YOU AND TRANSFORM YOUR PATH EACH WAIVE ANY RIGHT TO PURSUE CLAIMS ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. ALL CLAIMS AND REMEDIES MUST BE BROUGHT IN YOUR OR TRANSFORM YOUR PATH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

v. Notwithstanding anything to the contrary in these Terms or in the JAMS rules, the arbitrator shall have no authority to hear or determine class claims, representative claims, or claims brought on behalf of multiple parties, and may not consolidate proceedings unless both you and Transform Your Path expressly agree in writing.

vi. Nothing in this arbitration provision shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights, or to address matters relating to data security or unauthorized access to the Services.

vii. To the extent that any claim is permitted to proceed in court rather than in arbitration, you and Transform Your Path agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington.

These Terms reflect the entire agreement between Transform Your Path and Client and reflect a complete understanding of the parties with respect to the subject matter. These Terms supersede all prior written and oral representations. These Terms may not be amended, altered or supplemented except in writing signed by both Coach and Client. If any provision of these Terms shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of these Terms is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. The failure of either party to enforce any provision of these Terms shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of these Terms. These Terms shall be binding upon the parties hereto and their respective successors and permissible assigns.
